Seller & Publisher Agreement

1. Parties & Scope

This Seller & Publisher Agreement (the "Agreement") is entered into between you ("Seller," "Publisher," or "you") and Egret Studios LLC, a Limited Liability Company organized under the laws of the State of New Mexico (Entity ID: 0008028271), operator of the BlenderHunt marketplace (the "Platform," "we," "us," or "our"). By applying for a seller account, listing any product, or accepting this Agreement during onboarding, you agree to be bound by it in addition to our Terms of Use and Privacy Policy.

2. Eligibility & Approval

You must be at least 18 years of age and able to form a legally binding contract. All seller applications are reviewed manually, and approval is at our sole discretion. We may approve, decline, suspend, or revoke seller status at any time. In addition, every product you submit is subject to a separate editorial review and will not be published until approved by us.

3. Your Content & Ownership

You retain all intellectual property rights in the products and assets you upload ("Your Content"). You represent and warrant that you are the original creator or hold all necessary rights, licenses, and consents to sell Your Content, and that Your Content does not infringe the intellectual property, privacy, or other rights of any third party.

You grant Egret Studios LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, market, promote, and distribute Your Content to buyers through the Platform for the purpose of operating the marketplace. This license ends when you remove a product or terminate your account, except as needed to service prior purchases and fulfill our legal obligations.

4. No AI-Generated Art

BlenderHunt is a marketplace for human-made work. You may not list any product whose creative content is generated, in whole or in material part, by generative artificial intelligence - including but not limited to AI-generated images, textures, models, or materials. The use of AI as an incidental productivity aid (e.g., code assistance) is permitted, but the core creative assets you sell must be authored by you. Violation of this policy is grounds for immediate removal of the product, withholding of related earnings, and termination of your account.

5. Prohibited Content

You may not list content that is unlawful, infringing, stolen, malicious (including malware or obfuscated harmful code), pornographic, hateful, or that misrepresents its functionality, supported software versions, or licensing. We may remove any product that violates this Agreement at our discretion.

6. Pricing, Commission & Fees

You set the retail price of your products in United States Dollars (USD). For each completed sale, Egret Studios LLC retains a platform commission of twelve percent (12%) of the product's sale price, and you receive the remaining eighty-eight percent (88%) ("Net Earnings"). Payment processing fees charged by our payment provider are borne by the Platform and are not deducted from your Net Earnings. We may offer the commission rate on different terms by separate written arrangement.

7. Payouts

Payouts are processed through Stripe Connect. To receive Net Earnings you must connect and maintain a valid Stripe account and complete Stripe's identity and payout requirements. The following terms apply:

• Net Earnings from a sale become eligible for payout seven (7) days after the sale, once the buyer's refund window has closed.
• Eligible Net Earnings are paid out on a weekly basis (typically Fridays), provided your eligible balance meets the minimum payout threshold of USD $50.
• Balances below the threshold roll over and accumulate until the threshold is met.
• You are responsible for all taxes on your Net Earnings. We do not withhold taxes on your behalf except where required by law.

8. Refunds & Chargebacks

Buyers may request a refund within seven (7) days of purchase, consistent with our Refund Policy. Because Net Earnings are not released until this window closes, refunds are ordinarily settled before payout. Where a refund or payment-card chargeback occurs after a payout has been made, the corresponding Net Earnings will be deducted from your future balance or otherwise recovered. Repeated or excessive refunds and chargebacks may result in review or suspension of your account.

9. Buyer Licensing & Support

You are responsible for selecting an appropriate license for each product and for providing reasonable support to buyers regarding the products you sell. Buyers receive the license you designate on the product page at the time of purchase. You authorize us to deliver your files to buyers and to make latest versions available in their library.

10. Suspension & Termination

Either party may terminate this Agreement at any time. You may close your shop by contacting us; we may suspend or terminate your account for any breach of this Agreement or for conduct that harms buyers or the Platform. Upon termination, your products will be delisted, but buyers who have already purchased retain access to their files, and any Net Earnings validly owed to you (less refunds and chargebacks) will be paid out in accordance with Section 7.

11. Warranties & Indemnification

You represent and warrant that Your Content complies with this Agreement and all applicable laws. You agree to indemnify, defend, and hold harmless Egret Studios LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to Your Content, your breach of this Agreement, or your violation of any third-party rights or applicable law.

12. Independent Contractor

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and Egret Studios LLC. You act as an independent seller and are solely responsible for your business, including all applicable taxes, registrations, and legal compliance.

13. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be reflected by a new version number and effective date above. Your continued use of the Platform as a seller after changes take effect constitutes acceptance of the revised Agreement.

14. Governing Law & Contact

This Agreement is governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law provisions. For any questions regarding this Agreement, contact us:
